Terms of Service

These Terms of Service (“Terms”) govern your use of Talvik’s mobile applications, websites, and related services (collectively, the “Services”). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1) Who we are

Talvik is powered by Rural Grocery Solutions. The Services may be offered in connection with participating grocery stores (“Stores”). In many cases, the Store is responsible for membership eligibility, access rules, and on-the-ground enforcement.

2) Eligibility and accounts

• You must provide accurate information and keep it updated.
• You are responsible for maintaining the confidentiality of your account and any credentials.
• You must comply with store rules, posted policies, and applicable laws when using the Services.

3) Memberships, access, and store rules

Some Stores offer membership programs that may include after-hours entry, self-checkout, or other benefits. Membership eligibility, pricing, benefits, and rules are determined by the Store and may vary by location.

• You agree not to share access credentials (including mobile passes or key fobs) unless explicitly permitted by the Store.
• Access may be suspended or revoked for violations of Store rules, suspected fraud, safety concerns, or non-payment.
• Stores may require identity verification (e.g., ID) as a condition of membership or access.

4) Payments and renewals

Payments may be processed by third-party providers (such as Stripe or Clover). By making a purchase, you agree to the provider’s terms as well. Stores control membership pricing and refund policies unless otherwise stated.

• We may receive confirmation of payment status and transaction identifiers.
• Refunds, chargebacks, and disputes are handled according to the Store’s policy and/or the payment processor’s rules.

5) Acceptable use

You agree not to:

• Use the Services for unlawful, harmful, or fraudulent activities.
• Attempt to bypass security, access controls, or authentication.
• Interfere with the operation of the Services, including through automated scraping or abusive traffic.
• Impersonate others or submit false information.

6) Communications and SMS

You may receive communications from us and/or participating Stores (email, in-app notifications, and SMS if you opt in). Message frequency varies. Message and data rates may apply. You can opt out of SMS by following the instructions in the message (for example, replying STOP).

7) Third-party services

The Services may integrate with third parties (such as payment processors and access control providers). We are not responsible for third-party services and they may have separate terms and privacy practices.

8) Service availability and changes

We may modify, suspend, or discontinue any part of the Services at any time. We do not guarantee uninterrupted operation.

9) Disclaimer

The Services are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10) Limitation of liability

To the maximum extent permitted by law, Talvik and Rural Grocery Solutions will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Services.

11) Termination

We may suspend or terminate your access to the Services at any time if we believe you violated these Terms or for security/safety reasons. You may stop using the Services at any time.

12) Governing law

These Terms are governed by the laws of the State of Minnesota, without regard to conflict of laws principles, unless applicable law requires otherwise.

13) Changes to these Terms

We may update these Terms from time to time. We will update the effective date above. Continued use of the Services after changes means you accept the updated Terms.
